Article 1 - General information

The present General Terms and Conditions of Sale define the terms and conditions of sale on the website https://www.madlords.com, of luxury products and services for men and women, marketed and distributed by MAD LORDS (hereinafter the "Products and Services") to its customers for their personal use (hereinafter the "Customer"), as well as the rights and obligations of the parties arising from the online sale.

By purchasing a Product or Service on the Site, the Customer acknowledges having read these General Terms and Conditions of Sale and having accepted them without restriction or reservation. Given the electronic nature of the contract between the Customer and MAD LORDS, this acceptance is in no way conditional on a handwritten signature by the Customer.

Any written document and/or any other special condition contained notably in documents issued by the Customer (including the order) cannot prevail over the present General Terms and Conditions of Sale without the express prior written agreement of MAD LORDS.

Where necessary, the Customer may save or print out these General Terms and Conditions of Sale, provided they are not modified.

The version of the General Terms and Conditions of Sale available online on the Site shall prevail, where applicable, over any other version of the present General Terms and Conditions of Sale, with the exception of modifications made subsequent to an order, in accordance with common law.

Article 2 - Membership and registration

Browsing the Site is free and does not require the creation of a Customer Account.

In order to access certain services, each Customer must create an account and provide an identifier (e-mail address or other term of their choice) and choose a password on the Site.

Customers are informed that they must provide a valid e-mail address in order to receive an e-mail confirming the creation of their account.

Together, these constitute the Customer's "Identification Codes".

Customers acknowledge that they are entirely responsible for the use made of their Login Codes and of the Site.

The Customer undertakes not to choose any identifier that infringes the rights of a third party, and consequently undertakes not to use an identifier that infringes an intellectual property right, a registered trademark, a company name or a family name, without this list being exhaustive.

He/she undertakes to carry out all acts within the space reserved for him/her under his/her own Identifier Codes, and all acts carried out under these identifiers will be deemed to have been carried out by him/her.

MAD LORDS shall not be held liable in the event of forgetfulness, misuse or unauthorized use of the Customer's Identifier Codes by another Customer, and the Customer must immediately inform MAD LORDS of this situation, by e-mail to: [email protected] and by post to the following address: 316 rue du Faubourg Saint-Honoré 75001 Paris.

In accordance with Article 11 - of the GCU, the Customer has the right to access, modify, rectify and delete data concerning him/her, it being understood that the Site has been declared to the CNIL under receipt number n°1613143 v 0, in accordance with the French Data Protection Act n° 78-17 of January 6, 1978.

Article 3 - Products

3.1. Description of the Products

MAD LORDS presents on the Site the Products and Services, as well as their detailed descriptions contained in the sheets corresponding to each product and/or service, thus enabling the Customer to know, before the final validation of his/her order, the essential characteristics of the Products and/or Services he/she wishes to purchase, and this in accordance with the provisions of article L. 111-1 of the French Consumer Code.

MAD LORDS will also make its best efforts to ensure that the color and design of the Products whose photos are displayed on the Site are faithful to the original Products.
MAD LORDS will also make its best efforts to define as accurately as possible the characteristics and services offered to the Customer.

However, given the way products and services are presented on the Internet, it is possible that the Customer's impression of the photographic representation of the products and services does not correspond exactly to the product itself.

In application of the provisions of article L.121-20-3, in the event of unavailability of the Product, in particular of the color of the Product ordered by the Customer, MAD LORDS may offer the Customer a Product or Service of equivalent quality and price.

3.2. Prices of Products and Services

The applicable prices are those indicated on the Site at the time the Customer validates his/her order.

Prices are indicated in EURO and include all taxes. Prices are subject to French VAT, and any change in the legal rate of this VAT will be reflected in the price of the Products presented on the Site, on the date stipulated by the relevant implementing decree.

The Customer is informed that delivery charges will be invoiced in addition to the price of the Products, and that they will be specifically indicated on the order summary and the order confirmation e-mail and added to the total price of the order.

MAD LORDS reserves the right to modify its prices at any time and without prior notice. MAD LORDS reserves the right to modify its prices at any time and without prior notice. However, such modifications will not affect orders that MAD LORDS has accepted prior to the entry into force of such modifications.

Article 4 - Ordering Products and Services

4.1. Ordering a product or service

By browsing the Site, the Customer can freely take note of the various Products and Services offered for sale on the day the Site is consulted.

In order to order any of these Products, the Customer must click on the appropriate icon next to each Product photo, after having chosen the size and color of the Product, subject to availability.

At any time during browsing, the Customer can check the Products and Services selected (type, quantity, etc.) in the "My Basket" section.

At any time during the order process, i.e. until actual payment has been made in accordance with the conditions set out in paragraph 5.3 below, the Customer may return to the order in order to complete, modify or even cancel it.

Once the selection of Products has been completed, the Customer will be invited via a new web page to provide his/her contact details by filling in the form provided.

In particular, he/she undertakes to provide an address to which delivery can be made during working hours from Monday to Saturday, as well as his/her surname(s), first name(s) and e-mail address.

Once the form has been fully completed, an order summary will appear on the screen, containing all the information relating to the order, in particular the nature, quantity and price of the Products, the total amount (including shipping costs) of the order, the Customer's contact details, the delivery address and the billing address.

After checking the status of his order, the Customer will be invited :

Ø or click on the "Place my order" button to proceed with payment of the order;
Ø or click on the "Back to basket" button to change the order details and/or personal contact information;

By clicking on the "Place my order" button during the order process, the Customer must first read the present terms and conditions of sale, and then tick a box opposite the message "I have read and accept the terms and conditions of use".

4.2. The Customer guarantees that he/she is fully entitled to use the bank card provided for payment of his/her Order and that this bank card gives access to sufficient funds to cover all costs resulting from the use of MAD LORDS Services.

4.3 By clicking on the "Place my order" button during the Order process, and after checking the contents of the Order in the "Shopping Cart" and, where applicable, modifying it, the Customer declares that he/she fully and unreservedly accepts the present General Terms and Conditions of Sale.

After confirming the content of the Order, the Customer will validate it definitively by payment.

4.4. The Order will only be definitive once the corresponding price has been paid.

MAD LORDS will systematically confirm each Customer's order and its dispatch by e-mail.

4.5. The price, inclusive of all taxes, of each product or service is indicated on the corresponding product or service sheet. Shipping costs will be indicated to the Customer prior to final validation of the order. In addition, once the order has been validated, the prices and charges will remain accessible in the "My Account" section of the Website.

Once these terms and conditions have been accepted and the order confirmed, a payment page will open.
The Customer must then proceed with payment of the order.

The data recorded by MAD LORDS constitutes proof of all transactions between MAD LORDS and the Customer.

4.6. Paying for a product or service

Payment for the order is made over the Internet and must be made at the same time as the order, in accordance with the instructions given for this purpose during the order validation process. Payment will be made in the currency selected by the Shopify Payments electronic payment system: either by credit card (Visa, Mastercard, American Express) or via the Customer's Paypal interface in the case of payment by Paypal, to the exclusion of any other means of payment.

MAD LORDS uses the secure payment tool Shopify Payments and guarantees the Customer that it never has access to confidential information relating to the means of payment used by the latter to pay for his order.

In order to proceed with the payment due, the Customer will be asked to provide the credit card number, the expiry date and, if applicable, the visual cryptogram.

The Customer's bank details are requested for each order, as only the bank chosen by MAD LORDS to carry out this financial transaction remains in possession of the confidential information.

To this end, the Customer guarantees MAD LORDS that he/she has the necessary authorizations to use the method of payment chosen when validating the order. In the event of refusal by the bank, the order will be automatically cancelled and the Customer will be informed by e-mail.

Once an order has been paid for, a printable and saveable summary of the Customer's order will be displayed, including the order references.

4.7. Order confirmation by MAD LORDS

The order will only be considered firm and definitive once MAD LORDS has confirmed it to the Customer.

MAD LORDS reserves the right to refuse any order or delivery in the event of an existing dispute with the Customer, in particular as a result of the Customer's failure to comply with the obligations subscribed to under the terms of these general conditions of sale, in particular with regard to any incident of payment of the price of an order, which may result in the suspension of access to the MAD LORDS Site, or even the termination of the Customer's account, without prejudice to any damages that MAD LORDS may seek.

Following payment of the order, MAD LORDS will confirm the order as soon as possible by e-mail.

The order confirmation e-mail sent by MAD LORDS will contain the following information:

- the order number determined by MAD LORDS at the time of validation by the Customer;
- a summary of the order (description of the Product(s) and Service(s) ordered, quantity, price);
- the total amount of the order, all taxes included ;
- postage and packing ;
- payment confirmation ;
- the terms and conditions for exercising the right of withdrawal, in accordance with the provisions of articles L.121-20 of the French Consumer Code;
- the terms and conditions relating to the delivery of Products ordered (expected shipping time - maximum 30 days from order validation if in stock).

4.8. Availability of Products and Services

The Products and Services distributed online by MAD LORDS are those shown on the Site, on the day the Customer consults the Site and within the limits of available stocks and the availability of the various service providers involved.

In the event of unavailability of a Product or Service, MAD LORDS will inform the Customer as soon as possible by e-mail of the delivery of a partial order or the cancellation of the order.

However, in application of the provisions of article L.121-20-3 of the French Consumer Code, in the event of unavailability of the Product, in particular of the color of the Product ordered by the Customer, MAD LORDS may offer or deliver to the Customer a product of equivalent quality and price.

If the Customer's bank account has already been debited at the time of the aforementioned information to the Customer, MAD LORDS undertakes to reimburse the Customer as soon as possible for the price of the unavailable Product on the bank account debited at the time of the order, as well as the shipping costs related to this Product.

In the event that the Customer requests the cancellation of the entire order, MAD LORDS undertakes to reimburse the Customer for the sums paid within thirty (30) days at the latest after they have been debited.

MAD LORDS reserves the right to modify or discontinue the Products and Services offered on the Site at any time. However, such modifications shall not affect any orders that MAD LORDS may have accepted prior to the entry into force of such modifications.

Article 5 - Delivery & receipt of order

5.1. Livraison chez le Client

Le/les Produits seront livrés à l'adresse postale renseignée par le Client à l'occasion de sa commande et qui figurera sur le bon de livraison.

La/les prestations de Services seront réalisées conformément aux conditions mentionnées dans les modalités énoncées dans la fiche caractéristiques du Service.

La livraison sera faite selon le mode de livraison sélectionné par le Client lors de sa commande et en fonction du pays de livraison et du tarif proposé par le transporteur y efférent.

Le Client sera informé lors de la validation de sa commande, du tarif de livraison proposé par le transporteur.

Pour toute livraison en France métropolitaine et dans la Communauté Européenne, la commande sera acheminée au Client par le transporteur Colissimo ou Fedex ou prestataire de service concurrent de son choix.

Le Client pourra suivre l'évolution de sa livraison sur le Site à sur son sa page "Mon Compte"

La livraison étant assurée par des prestataires tiers, le Client est informé que MAD LORDS ne pourra aucunement être tenu pour responsable si l'inexécution ou la mauvaise exécution de cette obligation est imputable au Client ou au fait imprévisible ou insurmontable d'un tiers au contrat ou à un cas de force majeure.

5.2. Délais de livraison des Produits et d'exécution des Services

La livraison interviendra au plus tard dans les trente jours de la commande, sauf disposition contraire dont le Client sera informé avant la passation de sa commande, indiquant alors un délai moyen de livraison qui varie selon le produit.

La prestation de service interviendra réalisées conformément aux conditions mentionnées dans les modalités énoncées dans la fiche caractéristiques du Service.

5.3. En cas de retard de livraison ou d'exécution à la prestation de Service

Tout retard de livraison devra être signalé par le Client dans les meilleurs délais à MAD LORDS qui effectuera une enquête auprès des transporteurs en question.

Le Client disposera de la faculté d'annuler sa commande si la livraison de celle-ci n'est pas intervenue au plus tard quatorze jours après la date de livraison indiquée, sauf si ce retard est dû à un cas de force majeure. Notez que les produits sur-commande ne sont pas concernés par ce délais. 

A compter de l'exercice du droit de dénonciation, ou des conclusions de l'enquête effectuée par MAD LORDS confirmant la perte du colis, MAD LORDS effectuera un remboursement sur le compte bancaire débité lors de la commande, dans les plus brefs délais, à l'exclusion de toute autre indemnisation, ou réexpédiera les Produits à ses frais si la commande n'a pas été dénoncée par le Client. S'agissant d'un Service, aucune indemnisation particulière ne sera due au Client, MAD LORDS n'étant pas lui-même l'exécutant du Service.

En cas de livraison partielle de la commande, la livraison pourra être effectuée en plusieurs fois, et ce droit ne concernera que le solde non livré de la commande.

5.4. Réception des Produits par le Client

Chaque livraison est réputée effectuée dès mise à disposition des Produits auprès du Client par le transporteur, matérialisée par le système de contrôle utilisé par le transporteur.

Il appartient au Client de vérifier immédiatement au moment de la réception des Produits la conformité et l'intégrité des Produits expédiés.

Sans préjudice des délais dont dispose le Client au titre de son droit de rétractation, tel que précisé à l'article 7 ci-dessous, il appartient au destinataire de vérifier les expéditions à l'arrivée et de faire auprès du transporteur, toutes réserves et réclamations qui apparaîtraient justifiées en cas de retard, casse ou manquant.

Le Client devra émettre sur le bon de livraison des réserves complètes et précises. Conformément à l'article L.133-3 du Code de Commerce, toute réserve doit être confirmée par lettre recommandée au transporteur dans les trois (3) jours qui suivent la réception.

Toute réserve de ce type doit également être notifiée au Service Client de MAD LORDS, dont les coordonnées figurent sur le Site, dans le même délai et dans la même forme. Une copie de la réclamation adressée au transporteur devra être jointe.

ATTENTION: Ne signez jamais le bordereau du transporteur sans avoir vérifié la conformité et le bon état de la marchandise livrée, et ce, en présence du livreur.
Si vous constatez des anomalies, vous devez dans un premier temps les mentionner impérativement sur le bordereau de livraison, accompagné de votre signature.
Dans un second temps, vous devez également confirmer les réserves au transporteur par courrier recommandé avec accusé de réception au plus tard dans les deux jours ouvrables suivant la livraison du ou des articles, comme indiqué dans nos conditions générales de vente.
En cas de non respect de ces instructions, sachez que nous ne pourrons être tenus responsables en aucune manière des éventuels dégâts liés à l'acheminement du ou de vos colis.
 
Article 6 - Right of withdrawal
 
In accordance with the provisions of article L.121-20 of the French Consumer Code and subject to the hypotheses referred to in article L.121-20-3 of the said Code, the Customer has a cooling-off period of seven (7) working days, from the date of delivery of the order, to return, at his or her own expense, the Product or service ordered with which he or she is not satisfied, if and only if the latter has not yet been carried out, subject to the conditions of cancellation with the said Service Provider.
Please note that over-ordered products cannot be returned at any time.

The Product must be returned complete, in perfect condition and in its original packaging, accompanied by the delivery note, the invoice and a covering letter. This right of withdrawal shall not apply if the Product bears the mark of definite use, which is not necessary for the sole purpose of testing said Product, and is not in any case in a condition allowing it to be resold to consumers.

Under these conditions, MAD LORDS undertakes to reimburse the Customer, to the bank account debited at the time of the order, within a maximum of thirty (30) days from receipt of the Product.

If the right of withdrawal is exercised after the date of departure of the Products from the MAD LORDS warehouses, the return costs will remain at the Customer's expense (except for orders over 500€).

Article 7 - The Customer's right of return
 
In the event of receipt of a non-conforming Product, the Customer is authorized to return the Product to MAD LORDS by following the instructions given on the Site.

Please note that MAD LORDS does not accept packages sent postage due, and that the Product must be returned in its original packaging with the invoice.

Upon receipt of the returned non-conforming Product, MAD LORDS will check the non-conformity of the Product, which, if confirmed, will automatically result in a refund to the Customer.

This refund will be made to the bank account debited when the Product was ordered within thirty (30) days of receipt of the non-conforming Product. This refund will also include reimbursement of the initial delivery costs.

All risks associated with the return of the Product shall be borne by the Customer.

Article 8 - Conformity and warranty

MAD LORDS guarantees that the Products conform to their intended use, and are free from defects or hidden faults making them dangerous or unfit for normal use.

In the event of a Product that does not conform to the information given when the Product is presented on the Site, and in accordance with Article L.211-5 of the French Consumer Code, or if the Product presents latent defects as referred to in Article 1641 of the French Civil Code, it will be reimbursed to the Customer within a maximum of thirty (30) days, subject to compliance with the aforementioned conditions.

The following provisions apply to MAD LORDS' warranty to the Customer:

Article L.211-4 of the French Consumer Code:

"The seller is required to deliver goods in conformity with the contract and is responsible for any defects in conformity existing at the time of delivery.

He is also liable for any lack of conformity resulting from the packaging, assembly instructions or installation when the latter was made his responsibility by the contract or was carried out under his responsibility."

Article L.211-5 of the French Consumer Code:

"To conform to the contract, the goods must:

1 Be fit for the use usually expected of similar goods and, where applicable :

§ correspond to the description given by the seller and possess the qualities that the latter has presented to the buyer in the form of a sample or model;
§ present the qualities that a buyer may legitimately expect having regard to public statements made by the seller, by the producer or by his representative, notably in advertising or labelling;

2 Or present the characteristics defined by mutual agreement between the parties or be fit for any special purpose sought by the buyer, brought to the seller's attention and accepted by the latter. "

Article L.211-12 of the French Consumer Code:

"Action resulting from a lack of conformity shall be barred after two years from delivery of the goods."

Article 1641 of the French Civil Code:

"The seller is liable for any hidden defects in the item sold which render it unfit for its intended use, or which impair this use to such an extent that the buyer would not have purchased it, or would only have paid a lesser price for it, had he been aware of them."

Article 1648 paragraph 1 of the French Civil Code:

"The action resulting from redhibitory defects must be brought by the purchaser within two years of the discovery of the defect".

Article 9 - Liability
 
MAD LORDS may not be held liable for any inconvenience or damage inherent in the use of the Internet, in particular a break in service, external intrusion or the presence of a computer virus.

MAD LORDS shall not be held liable in the event of a breach of its obligations as defined herein resulting from a case of force majeure.

Without prejudice to the provisions of the preceding paragraphs, MAD LORDS's liability under these general terms and conditions of sale shall not exceed a sum equal to the sums paid or payable in the transaction giving rise to said liability, whatever the cause or form of the action concerned.

Article 10 - Information technology and civil liberties
 
The personal information collected in the context of distance selling is mandatory. This information is necessary for the processing and delivery of orders and for the preparation of invoices. Failure to provide this information will result in automatic rejection of the order.

In accordance with the French Data Protection Act no. 78-17 of January 6, 1978, the processing of personal data collected on the Site has been declared to the Commission Nationale de l'Informatique et des Libertés under no. 1613143 v 0.

The Customer has the right to access, modify, rectify and delete any personal information collected by MAD LORDS. To exercise this right, the Customer may either send an e-mail to MAD LORDS Customer Service at [email protected] or write to the Personal Data Department at 316, rue du Faubourg Saint-Honoré 75001 Paris.

MAD LORDS reserves the right to pass on personal data to commercial partners with the express consent of the Customer at the time of collection.

The Customer may receive e-mails from MAD LORDS and/or, if applicable, from its partners, providing information on MAD LORDS products and activities. The Customer retains the right to refuse such communication after the fact, either by withholding consent when validating the order, or by expressing his refusal by e-mail.

Article 11 - Data security and encryption
 
The MAD LORDS website is protected by one of today's most advanced security systems. Not only has it adopted the SSL (Secure Socket Layer) encryption process, but it has also strengthened all scrambling and encryption procedures in order to protect all sensitive payment data as effectively as possible.
Customers are reminded that MAD LORDS never has access to confidential information relating to payment methods. This is why the Customer's bank details are requested for each Order.

In fact, only the C.I.C bank, through its PAYBOX payment module, has access to confidential information (card number, validity date) which is inaccessible to third parties.

Article 12 - Correspondence - Evidence
 
Unless otherwise specified in these general terms and conditions, all correspondence between the parties is by e-mail.

In application of articles 1316 et seq. of the French Civil Code, the Customer declares that the information supplied by him/her to MAD LORDS shall be deemed authentic between the parties as long as no contradictory written document, authenticated and signed, has been produced, calling into question this computerized information.

Elements such as the time of reception or transmission, as well as the quality of the data received, will take precedence as they appear on MAD LORDS' computer systems, unless the Customer provides written proof to the contrary.

The scope of proof of information delivered by MAD LORDS' computer systems is that accorded to an original in the sense of a written paper document, signed by hand.

Article 13 - General customer behaviour
 
MAD LORDS has made available to them means of communication enabling them to participate in the community life of the Site, through several social networks.

In this connection, Customers agree not to transmit :

- incorrect or false registration information,
- any personal information (name, telephone number, e-mail address, etc.)
- any sensitive information of racial or ethnic origin, political, philosophical or religious opinions, trade union membership, sex life or health, contrary to accepted standards of behaviour or the law.

In the event of infringement or contravention of these rules due to the transmission of such information, MAD LORDS, in addition to the fact that it will have the right to delete these litigious messages without prior notice, reserves the right to remove Customers' access to MAD LORDS and to their account.

They must ensure that all information communicated subsequently remains correct and refrain from creating or using on the Site, without authorization, accounts other than their own under their own identity and / or that of a third party, it being recalled that any usurpation of identity is liable to prosecution and criminal penalties, that finally any breach of this commitment may result in the immediate suspension without notice of the accounts of the Customer.

Finally, in the same register, as provided for in article 4 hereof, and in the event that they become aware of any usurpation of their identifiers by a third party having accessed their account, they undertake to inform the Site's administration team by e-mail to [email protected] before confirming it by registered letter with acknowledgement of receipt to the following address: 316 rue du Faubourg Saint-Honoré 75001 Paris.

Article 14 - Customer comments and contributions - Property rights
 
14.1. Customers remain the sole owners of the rights attached to the content that they intend to have published and distributed through the Site and the Internet pages devoted to MAD LORDS on the social networks (hereinafter referred to together as "the MAD LORDS community"), namely works of the mind in general, such as comments, texts, images, URL links (hereinafter referred to as "Content"), that they would publish on the MAD LORDS community in the comment space allowing them to give their opinion on the Products and Services offered by MAD LORDS suppliers.

14.2. By the simple fact of having allowed the Content to be published on the MAD LORDS community, each Customer grants MAD LORDS a non-exclusive license to use, represent, reproduce, communicate to the public from the Site or from the Site via any known or future electronic communication network (Internet, 2G and 3G mobile telephony, ADSL TV, etc.), distribute and even modify the Content.This license is limited to the uses necessary for the operation of the MAD LORDS community, as long as these Contents are available and at the sole will of the Customer outside of any other external to the Site, except with the express prior consent of the latter.

14.3. The Customer hereby guarantees:

- to be the sole owner of the Content referred to in article 15 that he/she publishes on the MAD LORDS community, to be in a position to proceed with its publication, and to be entitled to grant the license to MAD LORDS, under the conditions of article 15.1 above.
- not to violate by their publication any of the protected rights, whether personal rights or those provided for in the intellectual property code (copyright, neighbouring rights, trademarks, patents, etc.).),
- not to use content that :

v cause harassment of third parties or call on third parties to engage in harassment,
v incite hatred, discrimination, racism, fanaticism or physical violence against individuals or groups of individuals,
v depict scenes of pornography, paedophilia, or any other shocking subject or contain a link to an Internet Site reserved for adults,
v solicit personal information from minors,
v to provide telephone/fax numbers, street names, names, postal addresses or e-mail addresses,
v to represent or advocate illegal activities or conduct of a defamatory, abusive, obscene, threatening or libelous nature, as well as false or misleading information,
v to offer an illegal or unauthorized copy of works protected by copyright, patent or trademark,
v to incite, provoke or encourage the transmission of e-mails, chain letters, unsolicited mass mailings, instant messages, unsolicited advertising messages or unsolicited mail,
v promote or encourage any criminal activity or enterprise, or give indications or instructions on how to promote illegal activities, invasion of privacy, dissemination and creation of computer viruses,
v solicit passwords or personal information from other Customers for illegal commercial purposes,
v engage in commercial activities and/or sales such as contests, sweepstakes, exchanges, advertisements and pyramids without the prior written consent of MAD LORDS,
v distribute reproduce, publish or modify in any way the copyrighted material, trademarks or other proprietary rights of third parties without their prior consent.

Article 15 - Intellectual property

MAD LORDS is the exclusive owner of the intellectual rights to the Site and the MAD LORDS community, in particular all texts, comments, works, illustrations, videos and images, whether visual or sound, reproduced on the Site, as well as its databases, of which it is the producer.

All these intellectual creations are protected by copyright, trademark law, patent law, sui generis database law and image rights, worldwide.

These creations are the full and complete property of MAD LORDS.

MAD LORDS is a trademark that has been registered with INPI by MAD LORDS under number 3.909.234

However, MAD LORDS grants Customers recognized as such under article 15.1 above a license to reproduce and display the contents of the Site, but solely and strictly for their personal use in connection with viewing this Site.

This license excludes, however, the right of Customers to modify, copy, translate, broadcast, publish, transmit, distribute, produce, display or assign the rights to any content appearing on and through the MAD LORDS community.

In this respect, and in accordance with the provisions of the French Intellectual Property Code, only private use is authorized, subject to different or even more restrictive provisions of this code.

Any other use constitutes an infringement and is punishable under the Intellectual Property Code unless prior authorization has been obtained from MAD LORDS.

As a reminder, it is strictly forbidden to place a hypertext link to the MAD LORDS community, using the framing or deep linking technique, as stipulated in article 16.3.

Any form of total or partial copy, aspiration and reproduction of the database produced and operated by MAD LORDS on the MAD LORDS community is strictly forbidden without its prior written consent.

Article 16 - Web 2.0 sharing tools - Hyperlinks and hypertext links

16.1 MAD LORDS has set up interactive communication tools known as "Web 2.0" allowing the Customer to comment on and rate the Products they have enjoyed via the Site. The comments and messages published on the MAD LORDS community by the Customer on this occasion must comply with the rules set out in Article 14 - Article 15 - of these GTC.

16.2. MAD LORDS has developed tools that allow the Customer to share any information with friends through the various Community Sites, social networks and blogs published by third parties.

However, MAD LORDS exclusively authorizes the Customer to use this type of communication and sharing for promotional purposes only, to the exclusion of any commercial use or use unrelated to the distribution of Products and Services on the Site.

16.3. The Site may contain hypertext links and/or hyperlinks to Internet sites published and hosted by third-party servers, and in particular advertising banners, which are not managed by MAD LORDS and over which it has no control.

MAD LORDS declines all responsibility for the legal consequences of accessing these websites.

The Customer may not publish hypertext links on the MAD LORDS community or forums if these links lead to websites whose content contravenes the provisions of article 15.2 hereof.

In such cases, MAD LORDS shall immediately and without delay remove any litigious link observed by MAD LORDS and/or which has been the subject of a notification by a third party, upon simple request by MAD LORDS.

If, after written notification from MAD LORDS, the Customer has not complied with the provisions of this article, MAD LORDS reserves the right to directly delete the disputed message and, in the event of a repeat offence, to permanently delete the Customer's account with all the legal consequences set out in Article 15 hereof, including in particular preventing the offending Customer from accessing online comments on the MAD LORDS community.
The use of hypertext links and/or hyperlinks pointing to the MAD LORDS community is authorized by MAD LORDS strictly within the framework of promoting the Site, but on the decisive condition that the integrity of the Site is preserved and that no risk of confusion between the Site and Internet sites published by third parties is observed.

In this respect, MAD LORDS formally prohibits all users from using framing, inline linking and deep-linking techniques, which involve the unauthorized slavish reproduction of Site content and its integration into web pages published by third parties.

Article 17 - General information

17.1. Force Majeure

Tout événement en dehors du contrôle de MAD LORDS et contre lequel elle n'a pu raisonnablement se prémunir constitue un cas de force majeure et suspend à ce titre les obligations des parties, comme par exemple sans que cette liste soit limitative : l'inondation, l'incendie, la tempête, le manque de matières premières, la grève des transports, grève partielle ou totale, ou lock-out, la panne technique (EDF, ERDF, des opérateurs de télécommunications, des fournisseurs d'accès Internet ou d'hébergement, des Registrar, etc.), un arrêt de fourniture d'énergie (telle que l'électricité), une défaillance du réseau de communication électronique dont dépend MAD LORDS et/ou des réseaux qui viendraient s'y substituer.

MAD LORDS ne pourra être tenue responsable, ou considérée comme ayant failli à ses obligations prévues dans les présentes Conditions Générales de Vente, pour toute inexécution liée à un cas de force majeure tel que défini par la loi et la jurisprudence française, à la condition qu'elle le notifie à l'autre partie d'une part, et qu'elle fasse son possible pour minimiser le préjudice et exécuter au plus vite ses obligations après cessation du cas de force majeure d'autre part.

17.2. Dispositions d'ordre Technique

Les services de MAD LORDS sont fournis en l'état et dans la mesure des disponibilités.

MAD LORDS ne garantit pas une fourniture sans erreur, sans interruption ponctuelle et sécurisée des services proposés via le Site et n'est tenue par aucune obligation d'assistance personnalisée notamment technique.

17.3. Mise à jour des Conditions Générales de Vente

Les présentes Conditions Générales de Vente pourront être modifiées à tout moment sur l'initiative de MAD LORDS. Toute modification des présentes Conditions Générales de Vente ainsi que des documents auxquels il y est fait référence sera communiquée au client lors de sa première utilisation du site après cette modification.


17.4. Intégralité du contrat

Les présentes Conditions Générales de Vente et le récapitulatif de commande transmis au Client forment un ensemble contractuel et constituent l'intégralité des relations contractuelles intervenues entre les Parties.

De manière générale, il est prévu de convention expresse entre MAD LORDS et le Client que les courriers électroniques feront foi entre eux de même que les systèmes d'enregistrement automatiques utilisés sur le Site, notamment quant à la nature et à la date de la commande.

Le Client peut accéder, le cas échéant conformément aux règles du droit commun, au contrat électronique conclu entre le Client et MAD LORDS. Il s'adresse pour ce faire au Service Client par courrier électronique auquel il fournira toutes les informations nécessaires pour ce faire, notamment le numéro de commande et ses coordonnées.

17.5. Non renonciation aux Conditions Générales de Vente

Le fait que l'une des parties aux présentes Conditions Générales de Vente n'ait pas exigé l'application d'une clause quelconque, que ce soit de façon permanente ou temporaire, ne pourra en aucun cas être considéré comme une renonciation aux droits de cette partie découlant de ladite clause.

17.6. Nullité

Si une ou plusieurs dispositions des présentes Conditions Générales de Vente sont tenues pour non valides ou déclarées comme telles en application d'une loi, d'un règlement ou à la suite d'une décision devenue définitive d'une juridiction compétente, les autres stipulations des présentes Conditions Générales de Vente garderont toute leur force et leur portée.

Le cas échéant MAD LORDS s'engage à supprimer et remplacer immédiatement ladite clause par une clause juridiquement valide.

17.7. Titre

En cas de difficulté d'interprétation entre le titre de l'un quelconque des articles et l'une quelconque des clauses, les titres seront réputés non-écrits.

17.8. Droit applicable - Litiges

LE DROIT APPLICABLE AUX PRÉSENTES CONDITIONS GÉNÉRALES DE VENTE ET AUX COMMANDES Y AFFÉRENTES EST LE DROIT FRANÇAIS, À L'EXCLUSION DE LA CONVENTION DE VIENNE SUR LES CONTRATS DE VENTE INTERNATIONALE DE MARCHANDISES.

SOUS LA RÉSERVE DES DISPOSITIONS CONTRAIRES DU CODE DE PROCÉDURE CIVILE, TOUT DIFFÉREND QUI POURRAIT NAÎTRE À L'OCCASION DE LEUR VALIDITÉ, DE LEUR INTERPRÉTATION OU DE LEUR EXÉCUTION ET QUI N'AURAIT PAS ÉTÉ RÉGLÉ À L'AMIABLE PAR LES PARTIES AUX PRÉSENTES, SERA SOUMIS AUX TRIBUNAUX DU RESSORT DE PARIS, NONOBSTANT PLURALITÉ DE PARTIES RÉFÉRÉ OU EXPERTISE.
